An accomplished litigator, Perri skillfully represents clients in matters involving real estate, construction litigation, premises disputes, complex commercial matters, and New York labor law. Her broad legal background, which includes high-stakes cases in product liability, auto liability, catastrophic loss, and general liability, provides her with the ability to see the big picture while navigating the details. Perri earned her J.D. from the Benjamin N. Cardozo School of Law and a B.A. from the University of Maryland. Both Michal and Alissa bring impressive backgrounds and fresh perspectives. Michal Chait joins us with hands-on experience from her recent role as a legal extern at Douglas Elliman, where she supported brokerage agreements and various real estate transactions. Michal will focus her practice on high-value commercial transactions and negotiations. She earned her J.D. from New York Law School, graduating magna cum laude, and brings additional fluency in Russian and conversational Hebrew. Alissa Donovan joins our Commercial Litigation and Employment Law teams and brings a unique blend of entrepreneurial experience and in-house legal insight. Her past roles, including legal internships with prominent organizations like H&M, Rainbow Shops, and the Girl Scouts of the U.S.A., give her a strong understanding of the legal needs of businesses. In January 2024, the Federal Trade Commission (FTC) issued a Final Rule aimed at banning most non-compete agreements between employers and workers. This rule, which was set to take effect on September 4, 2024, would have prohibited employers from entering into new non-compete agreements and required them to rescind existing non-compete agreements, with limited exceptions. However, on August 20, 2024, a ruling by the U.S. District Court for the Northern District of Texas blocked the FTC’s rule from taking effect nationwide. Judge Ada E. Brown’s decision prevents the rule from being enforced, providing a temporary reprieve for employers. Key Takeaways ? Judge Brown’s ruling overturns the FTC’s Final Rule on a nationwide basis, ensuring that, for now, employers can continue to enforce non-compete agreements that are compliant with applicable state laws, and are not required to issue notices to employees or former employees regarding non-compete agreements. ? The court found that the FTC exceeded its statutory authority in attempting to enforce a substantive rule and that the rule itself was arbitrary and capricious, primarily due to its overly broad and one-size-fits-all approach. ? The FTC is expected to appeal this decision, but this process will likely take time. Absent a stay or reversal, the rule will not go into effect, and businesses do not need to take any immediate action regarding the FTC’s mandates. ? Despite the federal block, employers must still comply with state laws regulating non-compete agreements, as some states, like California and Minnesota, have strict prohibitions. The Stein Adler team, led by Counsel Noam Besdin,?Secures Dismissal for Client in Multi-Million Dollar Lien Law Case Three subcontractors filed claims against a prominent solar energy business’s parent company and a number of its project subsidiaries, alleging landlord liability under New York State lien laws.?The subcontractors claimed that the projects’ general contractor owed them more than $9 million for unpaid work on solar projects in St. Lawrence, New York, and seeking to recover that amount from our clients, who had hired the general contractor. Stein Adler moved to dismiss all claims against our client’s parent company, arguing that the subcontractors had no basis to pierce the corporate veil and implicate it for the alleged liabilities of its subsidiaries.?After extensive briefing and oral argument, the Supreme Court of the State of New York granted our motion to dismiss in its entirety, ruling that the subcontractors’ claims are limited only to those entities with which it has a direct relationship, and confirming the burden that plaintiffs must shoulder in trying to use New York’s lien law to implicate project owners.
