In 2024, the SEC adopted amendments to the rules and forms related to its EDGAR filing system, known as "EDGAR Next," which aim to enhance security and modernize the system. These changes will require all filers to enroll and designate individuals responsible for managing their EDGAR accounts. Here is a summary of the changes: ? · On March 24, 2025, enrollment opens for EDGAR Next and existing filers can begin enrolling and?using the new EDGAR Filer Management dashboard. Existing?filers must enroll by Sept. 12, 2025, to avoid interruptions in filing capabilities. ? · A new EDGAR?Filer Management Dashboard will be launched, requiring individual Login.gov credentials to manage EDGAR accounts or for prospective filers to apply for EDGAR access using an amended Form ID.? ? · Filers will generally be required to designate at least two account administrators to manage their EDGAR accounts. Account administrators can assign roles and delegate filing authority to third parties like law firms, broker-dealers, printers or other filing agents. ? · Starting Sept. 15, 2025, enrollment in EDGAR Next will be mandatory for all filers, and filers will no longer be able to submit filings through the legacy shared password-based access system.?Filers will be able to continue to make filings using the current system until then.? ? Schulte recently hosted a fireside chat with Lourdes Rivera, president of pro bono client Pregnancy Justice, to discuss the evolving landscape of reproductive rights and the increasing criminalization of pregnancy in the wake of the Dobbs decision that overturned Roe v. Wade. The discussion was led by Schulte special counsel Shannon Wolf. ? Lourdes has over 30 years of experience as a respected leader in reproductive rights and justice, health law and policy, and philanthropy. She served as a senior vice president of U.S. Programs at the Center for Reproductive Rights and was co-founder of California Latinas for Reproductive Justice and the Groundswell Fund. Lourdes detailed how the Dobbs decision has led to an increase in the criminalization of pregnancy and efforts to assign legal rights or personhood to fetuses. Prosecutors have charged women with crimes like child abuse, endangerment, or neglect or murder or manslaughter for conduct during pregnancy or for experiencing a pregnancy loss. ? While Pregnancy Justice has been a pro bono client for 15 years, more than half of the hours dedicated by Schulte's lawyers and staff have been following the Dobbs decision. The firm partnered with Pregnancy Justice in the immediate aftermath of the Alabama Supreme Court ruling that effectively outlawed IVF, working to track rapidly shifting legal developments and update Pregnancy Justice’s report, "Unpacking Fetal Personhood: The Radical Tool That Undermines Reproductive Justice." In 2022, as the Dobbs decision loomed, we collaborated to draft "Confronting Pregnancy Criminalization: A Practical Guide for Healthcare Providers, Lawyers, Medical Examiners, Child Welfare Workers, and Policymakers." #WomensHistoryMonth #SchulteLaw #ProBono

On Feb. 17, 2025, a bipartisan group of Delaware legislators introduced a bill proposing a set of significant amendments to the Delaware General Corporation Law that, if approved, would dramatically limit stockholders’ ability to access corporate books and records and reduce Delaware courts’ scrutiny of transactions with conflicted controlling stockholders. While ostensibly aimed at increasing clarity and predictability for transactional planners, the proposed amendments likely will create new areas of uncertainty that boards may exploit to avoid accountability to stockholders and remove a potent tool used by activists to uncover board wrongdoings.
