The Big Surprise in Meeting with an M&A Advisor Most owners of insurance, financial services, HR, or similar firms likely have thought about the future of their business and the possibility of selling someday. But what tangible actions are they taking to ensure it is the optimal sale in the future? For many owners, this is an important - but not urgent - conversation and the planning and strategizing can is kicked down the road. This is not surprising because the M&A planning process can seem, and be, daunting. It involves navigating issues such as when is the right time to sell, what will the business be worth, how to navigate such a complex process, and even determining if selling is the right decision at all. Here is a big surprise to many owners: Starting the conversation with an M&A advisor doesn’t mean starting the process of selling. It’s about becoming a student of M&A, gaining clarity, reducing complexity, and being prepared for when the time is right. Here are some of the issues that talking with an advisor can address: * Explore Options Owners May Not Be Aware Of: Selling to private equity and retiring isn't the only option. There are more exit strategies available. * Understand Business Valuation: Discuss the key factors that can raise—or lower—business valuations.? * Incorporate M&A Into Business Planning: Even if selling is a long way off, starting to “think like a potential buyer” now can help owners make smarter decisions that will benefit their company today. * Confirm Current Thinking: Many business owners reach out to validate their instincts about a decision not to sell. An objective advisor can confirm if they are on the right path, providing reassurance and a sense of clarity. Even if selling a business is a long way off, meeting with an advisor can provide something incredibly valuable to owners: peace of mind that they are on a path that is right for them. Rosen Advisory was founded to help business owners develop and execute exit strategies that result in celebrations of their hard-won success. This month, we celebrate a milestone of our own—our third anniversary in business. In my 17 years on the buy-side of mergers and acquisitions transactions, I saw that owners often weren’t getting the guidance they needed when selling their business. I founded Rosen Advisory to provide them with a better way to fully realize the value they’ve worked so hard to build. The past three years have been more rewarding than I could have imagined. Guiding owners with M&A advisory services as they navigate what is often a once-in-a-lifetime transaction is a truly gratifying experience. I can only hope that our recognition of, and appreciation for, the trust placed in us is evident in our work with every client. Thank you to everyone who has been part of the journey over these past three years, in particular the business owners who have trusted Rosen Advisory to provide them with guidance on such a momentous event in their business and personal lives. As part of our 3rd Anniversary celebration, we have updated the look of our website. https://lnkd.in/etbDYW4m. Four reasons owners looking to sell their business shouldn’t go it alone. The Summer issue of BIP Magazine, the new official publication of NABIP, features an article by Brett Rosen titled, “Thinking of selling your business? 4 ways an advisor can sweeten the deal.” The article focuses on why it is crucial for owners who are thinking of selling their business to have an M&A advisor on their side to maximize the value of the transaction. Check out Page 18 of the magazine here:?https://lnkd.in/gya3hSwC The “Four V’s” The article notes that owners working directly with a buyer often “don’t know what they don’t know” about the market. It details the benefits of having an experienced advisor guide them through the process, including the “Four V’s”: 1. Valuation that’s fair. Advisors know the whole market. This enables them to help sellers get a sense of their company’s true market value and negotiate accordingly. 2. Visibility into the owner’s future role. Good advisors have extensive experience with this element of a transaction and can help owners avoid unpleasant surprises. 3. Values alignment and legacy. An advisor knows the culture of most buy-side firms and can make sure small business owners don’t sell to a company that isn’t aligned with their deepest values and the legacy they want to leave. 4. Velocity that is right for the owner. Getting the best deal typically requires patience, thoroughness, and perspective. Advisors can help owners proceed at the speed that’s right for them. From Buy-Side Acquirer to Sell-Side Advisor The article draws on Brett’s 15 years of experience working on the buy side for an organization that acquired companies in the employee benefits, insurance, retirement, and HR fields before he became an M&A advisor to business owners.
