United States Attorney’s office in the Eastern District of New York unsealed an indictment alleging that eight defendants defrauded Medicaid of approximately $68 million.?The alleged scheme involved two adult day care programs and a home care financial intermediary, all owned and controlled by the same individuals, as well as several marketers for the companies. These companies were involved in New York’s Consumer Directed Personal Assistance Program (CDPAP), a program that is undergoing significant change, legal challenges, and continued scrutiny for compliance concerns. The U.S. Attorney’s Office for the Southern District of California announced ?that Dr. Janette Gray and her former medical practice, The Center for Health & Wellbeing in San Diego, resolved False Claims Act (FCA) allegations by agreeing to pay $3.8 million. Gray and her practice allegedly billed Medicare and TRICARE from 2012 to 2022 for services not covered under either program by misrepresenting the services provided, disguising the rendering provider, billing for medically unnecessary services, or unbundling services. Stella Lellos and Lindsay Brocki published "The Locked Box Mechanism in Private M&A Transactions: A Streamlined Approach" in the New York Law Journal. "In private M&A deals, purchase price adjustments play a crucial role in the determination of the final transaction value. These adjustments often hinge on net working capital calculations, which can introduce complexities and prolonged negotiations that detract from a smooth closing process. In response to these challenges, the locked box mechanism has emerged as a compelling alternative. The locked box mechanism allows parties to agree upon a fixed purchase price based on an audited balance sheet as of a predetermined date, thereby eliminating the need for post-closing adjustments. Initially prevalent in the U.K. and Asia, the locked box approach is gaining traction in the United States due to the growing demand for expedited M&A transactions and a robust seller’s market."
