The CTA, signed into law in 2021, requires an estimated 32 million companies in the U.S. to submit beneficial ownership information (BOI) to the United States Department of the Treasury’s Financial Crimes Enforcement Network (FinCEN). Companies formed on or before February 19, 2025 now have until March 21, 2025, to file their BOI reports. Companies formed after February 19, 2025, will have 30 calendar days from the date of creation or registration to file their BOI reports. Failure to file the BOI report can result in penalties.
