To avoid fines of $500 per day, businesses must submit a Beneficial Ownership Information (BOI) report to the Financial Crimes Enforcement Network (FinCEN) by December 31, 2024. This requirement stems from the Corporate Transparency Act (CTA), which mandates that certain entities disclose information about their beneficial owners to enhance transparency and combat illicit activities. *Who Needs to File:* The BOI reporting requirement applies to most corporations, limited liability companies (LLCs), and similar entities formed or registered in the United States. However, there are specific exemptions, such as publicly traded companies and certain large operating companies. It's crucial to determine whether your business qualifies for an exemption. *Information Required:* The report must include details about the company and its beneficial owners, specifically: - Full legal name - Date of birth - Residential address - Unique identifying number from an acceptable identification document (e.g., driver's license or passport) For entities formed before January 1, 2024, the deadline to file the BOI report is December 31, 2024. Entities formed in 2024 have 90 days from their formation date to file, and those formed after January 1, 2025, will have 30 days to comply. *Penalties for Non-Compliance:* Failure to file the BOI report by the specified deadline can result in civil penalties of up to $500 per day until the violation is remedied. Willful failure to file or providing false information may lead to criminal fines up to $10,000 and/or imprisonment for up to two years. *How to File:* Reports are submitted electronically through FinCEN's BOI E-Filing System. There is no fee for filing. *Next Steps:* 1. *Determine Applicability:* Assess whether your business is required to file a BOI report or qualifies for an exemption. 2. *Gather Information:* Collect the necessary details for each beneficial owner. 3. *Submit the Report:* File the BOI report through FinCEN's online system before the December 31, 2024, deadline. Ensuring timely compliance with this requirement is essential to avoid significant penalties. To submit your Beneficial Ownership Information (BOI) report, please visit FinCEN's BOI E-Filing System at: https://lnkd.in/e4zShHzk . This portal allows you to file your report online securely and free of charge. For detailed instructions on completing the online form, you can refer to FinCEN's step-by-step guide: If you prefer a visual walkthrough, FinCEN offers a five-minute demo video: https://lnkd.in/gZ36v-Wi Ensure you have all necessary information about your company's beneficial owners ready before starting the filing process. If you encounter any issues or have further questions, FinCEN provides a FAQ section and contact information on their website.
