Job Summary:
We are seeking a highly organized and detail-oriented Secretarial & Compliance Officer to join our team. The ideal candidate will be responsible for handling a variety of secretarial and compliance tasks, including drafting board resolutions, preparing regulatory filings, and ensuring adherence to corporate governance standards.
Key Responsibilities:
Secretarial Work:
Draft, review, and approve board resolutions, shareholder agreements, and other legal documents.
Maintain statutory records and registers, including the register of members, directors, and charges.
Coordinate with external agencies like the Registrar of Companies (ROC) for filings and compliance.
Prepare and file annual returns, director reports, and other regulatory filings.
Organize and conduct board meetings, shareholder meetings, and committee meetings.
Maintain a comprehensive filing system for all statutory records.
Compliance Work:
Ensure compliance with corporate governance regulations, SEBI regulations, and other applicable laws.
Monitor regulatory changes and implement necessary changes to internal processes and procedures.
Coordinate with external auditors and internal auditors to ensure compliance with financial and operational controls.
Prepare and submit regulatory reports and disclosures.
Conduct due diligence and risk assessments to identify potential compliance risks.
Preferred Qualifications:
Professional qualification of CS.
Experience in a listed company.
Knowledge of international corporate governance standards.
