Here's a short thought article for discussion: As a small business owner, raising funds and planning for an exit strategy are as crucial as launching your venture. The Small Business Innovation Research (SBIR) or Small Business Technology Transfer (STTR) programs offer unique opportunities to develop cutting-edge technologies, which can significantly enhance the value of your business. Here are a few thoughts and considerations for raising funds and selling your SBIR/STTR funded technology. In this article, I’ll highlight a few ownership and control issues with fundraising and next week’s article will address how to leverage your intellectual property rights for your exit strategy. Should you decide to pursue fundraising to grow your business, there are considerations regarding potential buyers especially if you desire to continue to pursue SBIR/STTR awards. First, new owners and their related entities could increase your employee headcount, potentially creating affiliation and the eligibility of your business. Second, the citizenship of the investing firms and the individual investors may impact whether you remain U.S. owned and controlled and the eligibility of your business, requiring you to screen for citizenship of a prohibited country. Finally, you must notify the government of ownership changes and update applicable representations. For small businesses that successfully innovate and commercialize, the ability to sell can be an integral part of your exit strategy. Potential buyers are attracted to and value SBIR/STTR technology because the rights granted to the Government enable small businesses to leverage sole source awards for up to twenty years. . While only small businesses may receive a Phase I or Phase II award, a Phase III agreement may be awarded to the original small business or a valid successor-in-interest as defined in the SBIR/STTR Policy Directive. My only caution is a Phase III agreement will not be awarded to a successor-in-interest if the buyer is a prohibited foreign entity under the SBIR Reauthorization Act of 2022 or subject to approval by the Committee on Foreign Investment in the United States (CFIUS). So, the SBIR/STTR Programs are an excellent method for small businesses to obtain non-dilutive funds from the Government to research and develop new technology. Properly navigating ownership and control issues during fundraising and leveraging the value of your SBIR/STTR-funded technology, can enhance your business’s attractiveness to potential buyers and ensure compliance with program requirements.
