Are you prepared to navigate a landlord-favored lease? In commercial real estate, it’s common to encounter lease terms that tip heavily in the landlord’s favor. Often, tenants are expected to cover rising operating expenses, adjust to restrictive tenant improvement clauses, and manage unexpected relocation requirements — all while trying to maintain operational stability and control costs. We recently worked with a client in the industrial sector who needed a large, specialized space for their operations. The initial lease terms placed full responsibility for HVAC maintenance on the tenant, meaning unexpected repair costs could have severely impacted their budget. By negotiating an annual cap and requiring routine maintenance from the landlord, we helped them minimize their exposure to unforeseen expenses, allowing their operations to run smoothly without the risk of unexpected costs. Another client, an office tenant, faced relocation clauses that could have forced them into another building without any recourse. This was an unacceptable risk for a team that relied on proximity to specific client offices. To protect their business, we negotiated for the landlord to cover all relocation expenses and established the tenant’s right to terminate the lease if a move would disrupt their operations. Years ago, we also represented a client where we successfully negotiated a termination option, which many firms are unaware is possible. This provision recently enabled us to downsize and renegotiate with 3 years remaining on the lease, showcasing the practical benefits of such flexibility; it would not have been impossible without the termination option. These situations illustrate why it’s essential to scrutinize lease terms closely and negotiate protective clauses that align with your business needs. Addressing issues such as relocation risks, operating expense caps, and improvement allowances, you can create a more balanced, tenant-friendly lease that safeguards your interests.
