Expanding your franchise to Canada? Here’s what you need to know about legal compliance:
?? Provincial Variations: Franchise laws differ by province. Six provinces (Ontario, BC, Manitoba, New Brunswick, Alberta, and PEI) require a Franchise Disclosure Document (FDD), while others do not—but franchisees may still expect one.
?? FDD Requirements: A US FDD won’t work as-is. Canadian FDDs must disclose all material facts, including risks, costs, and obligations, and meet Canada’s legal standards.
?? Registration: Unlike in the US, Canadian provinces don’t require FDD registration, but franchisors are responsible for ensuring compliance.
?? Legal & Tax Guidance: Work with US and Canadian advisors to navigate tax structures, withholding taxes, and royalty payments. Proper planning avoids costly surprises.
