Moore & Van Allen’s Public Service Committee (PSC) and Environmental Sustainability Committee (ESC) recently volunteered at the Innovation Barn, contributing to hands-on tasks in support of sustainability initiatives. The team participated in building sound panels, toured the Innovation Barn to learn about its operations and programs, and assisted with plant care on-site. Additionally, MVA helped collect over 300 T-shirts, which will be repurposed to create more sound panels and other eco-friendly products. The Innovation Barn, located at 932 Seigle Ave. is ground zero for Circular Charlotte, a joint project with the City of Charlotte to transition Charlotte to a circular economy. The Innovation Barn is a combination of entrepreneurial businesses, zero-waste initiatives, and a space to convene groups in order to learn more about and implement circular projects. The City of Charlotte owns the building and Envision Charlotte manages, designs, and implements the programming within.

The Order of the Palmetto is presented to individuals in recognition of a lifetime of exceptional achievement, service, and contributions on both a statewide and national level. It honors those who have made significant, selfless contributions to the community, dedicating their time, resources, and goodwill to a variety of causes that benefit their fellow citizens and the prosperity of South Carolina. While accomplishments in business, politics, or personal life are considered, the true purpose of the award is to recognize individuals whose actions have had a positive, lasting impact on others. The recipient is presented with a certificate signed by the governor, accompanied by an impression of the state seal. Moore & Van Allen (MVA) Litigation Counsel Courtney Duncil, was recently featured in Meredith Magazine in the article, “Courtney Duncil, ’99: Discovering Your Strengths.” The feature highlights her expertise in e-discovery, her work as an attorney, and a blog article she published in Bloomberg Law. During her time at Meredith College, one of Courtney’s most formative experiences was serving as the station manager for MCTV, where she honed her creativity and developed valuable skills. Another standout moment in her college journey was studying abroad, an experience she credits with helping her build independence. “It was important to me to attend a college where I could be in a leadership role. Moore & Van Allen (MVA) Finance Associates John I. Sanders and Will Reeves, along with Menno Baks of Loyens & Loeff N.V. co-authored the article titled, “EU Listing Act Improves Capital Markets Access for SMEs.” On November 14, 2024, the EU Listing Act (the “Act”) was published in the Official Journal of the European Union. The Act entails a legislative package designed to improve capital markets access and reduce disclosure obligations for EU issuers, particularly small- and medium-sized companies (“SMEs”). According to the European Commission, SMEs account for 99% of all European businesses and employ 85 million European citizens. Two key provisions of the Act that benefit SMEs relate to the EU Follow-On Prospectus and the EU Growth Issuance Prospectus. The Act introduces a new regime governing the EU Follow-On Prospectus, which replaces the existing simplified disclosure rules governing follow-on offerings that were widely viewed as too prescriptive and burdensome. The EU Follow-On Prospectus is available to issuers with securities that have been admitted to trading on a regulated market or an SME growth market (e.g., Euronext Growth Milan) for at least 18 months. The prospectus includes only one year of financial information and excludes an Operating and Financial Review section, which is the equivalent of an MD&A in the U.S. market. To focus disclosure on the most relevant information, the EU Follow-On Prospectus is limited to 50 pages in length. The Act also introduces a new EU Growth Issuance Prospectus to replace the existing EU Growth Prospectus. The EU Growth Issuance Prospectus is available to, among others, SMEs, issuers with securities already admitted to trading on a SME growth market, and unlisted companies with an aggregate offering value of no more than €50 million within a twelve-month period and fewer than 499 employees, on average, during the most recent fiscal year. To focus disclosure, the EU Growth Issuance Prospectus consists of a single standardized document limited to 75 page in length. The EU Follow-On Prospectus and EU Growth Issuance Prospectus complement reforms enacted across Europe in recent years designed to improve capital markets access for SMEs and we believe they will be useful tools for SMEs seeking to raise additional capital in the EU. Most provisions of the Act will enter into force on December 4, 2024, but the entry into force of certain significant provisions will be delayed until 15 or 18 months after that date. For example, the new rules regarding the EU Growth Issuance Prospectus and the EU Follow-On Prospectus will only apply beginning on March 5, 2026. https://lnkd.in/egA69vNK

Caitlin has been actively involved with InReach for several years, having volunteered and served as a board member for the past four years. During her tenure, she has held leadership roles, including Chair of both the Personnel and Nominating Committees. MVA Human Resources Generalist Tricia Jordan has recently been accepted to the Charlotte Regional Business Alliance Emerging Business Leaders (EBL) Class 13 program. The EBL program is a 7-month immersive leadership program designed to enhance leadership capabilities, facilitate relationship building across companies and industries, and provide opportunities for participants to increase their engagement in the Charlotte community.
