Milbank represented the underwriters in connection with a debt-for-equity transaction that included a registered secondary offering of 19,464,174 shares of common stock of Amentum Holdings, Inc., which generated in $320 million of proceeds at a public offering price of $16.50 per share. In connection with the transaction, a subsidiary of Jacobs Solutions Inc. exchanged the shares for indebtedness of that subsidiary held by an affiliate of BofA Securities, Inc. Milbank represented One Investment Management in connection with its partnership with FTAI Aviation Ltd. to launch FTAI’s Strategic Capital Initiative. The first vehicle under FTAI’s Strategic Capital Initiative is expected to deploy more than $4 billion of total capital into on-lease 737NG and A320ceo aircraft, allowing FTAI to maintain an asset-light business model while the partnership focuses on being a leading, scaled investor in the largest segment of the narrowbody aircraft market. Milbank advised long-time client Metro Pacific Investments Corporation on the completion of the sale of its indirect stake in Philippine Coastal Storage & Pipeline Corporation (PCSPC), together with Singapore-listed Keppel Infrastructure Trust, which also sold its indirect stake in PCSPC to an affiliate of global infrastructure investor I Squared Capital. PCSPC is the largest jet fuel, petroleum and sustainable fuels import terminal in the Philippines. ? Milbank International Arbitration partner Viren Mascarenhas is speaking at the University of Pennsylvania's 7th Annual International Arbitration Conference on March 21. The conference will address arbitration and courts in the face of change. Viren is speaking on the "Investment Arbitration's Response to the Climate Change Crisis" panel, which will discuss the role of investment treaties in promoting global climate goals and how investment arbitration could become a tool for sustainable energy transition. They will also examine ongoing proposals to reform investor-state dispute settlement, such as climate carve-outs in treaties and embedding climate science into arbitration decisions.
