The revised European Market Infrastructure Regulation (???????? ??), which came into effect on 24 December 2024, aims to enhance the transparency, stability, and safety of the financial markets within the EU. To support institutions in implementing the new requirements, the Authority for Financial Markets (??????) and the Dutch Central Bank (??????), the designated supervisory authorities for EMIR in the Netherlands, have issued joint guidelines. We are delighted to announce that Mazarine Energy's founder, Edward van Kersbergen, has successfully acquired the shares in Mazarine Energy from The Carlyle Group and Ramphastos Investments. Mazarine Energy, an innovative upstream oil and gas operator, is making progress with projects in Tunisia and Romania. It has also recently ventured into renewable energy with a promising solar project in Tunisia. Global investment firm Carlyle, which acquired a majority stake in Mazarine Energy in 2016, and private equity firm Ramphastos Investments, an investor in Mazarine Energy since 2013, have now completed the sale of their stakes to Edward van Kersbergen. Our team acted as legal and tax advisor as well as notary and supported Mazarine Energy throughout the process. The legislative process has moved swiftly since the first vote on draft bill n°8053 on 23 January 2025. The new law transposing the corporate law aspects of the “Mobility Directive” (Directive (EU) 2019/2121) as regards cross-border conversions, mergers and demergers has been now published on 26 February 2025 (the New Law). Special Regime – Applicable to specific EU transactions and types of companies within the scope of the Mobility Directive, providing a harmonised EU framework with enhanced protections and controls. ?? General Regime – Applicable to transactions outside the scope of the Mobility Directive (e.g., transactions with non-EU countries), based on the pre-existing procedures that have now gained additional flexibility. ???????? ?????????? & ?????? ??????????:The New Law will come into force on 2 March 2025 with a transitional period ending on 31 March 2025 for transactions already initiated (i.e. those with the draft terms published before 1 April 2025). Note that draft bill n°8225 concerning the employment aspects of the Mobility Directive is still undergoing the legislative process. It is now scheduled for the first vote in the Luxembourg Parliament on Tuesday 4 March 2025.
