I'm back from my 3 week #polarpause and ready to help more founders get access to legal resources. Before I jump into the new year, I want to celebrate Liles Law's 2024 ?? It was a WILD year. I left my corporate gig after being there 12 years, created a new website and startup blog, helped 56 new founders sleep better at night, increased my LinkedIn presence, met my goal of 100+ 5-star reviews, and insisted on a #slowsummer. While this infographic represents the highlights, there were plenty of lows (e.g. "cried for 3 hours straight after handing in notice" and "chased down 14-month overdue invoice") that make #entrepreneurship a rollercoaster. ?? INFO ABOUT BOI FILINGS - NEW REQUIREMENT FOR ALL U.S. COMPANIES ???? What is it? The Corporate Transparency Act ("CTA") was enacted by Congress on January 1, 2021, as part of the National Defense Authorization Act. The CTA includes significant reforms to anti-money laundering laws and is intended to help prevent and combat money laundering, terrorist financing, corruption, and tax fraud. The CTA establishes a beneficial ownership reporting requirement for corporations, limited liability companies, and other similar entities formed or registered to do business in the United States. Beneficial ownership reports must be filed with the Financial Crimes Enforcement Network (FinCEN), a bureau within the U.S. Department of Treasury. ???? What are the deadlines? Any U.S. entity formed on or after January 1, 2024 must file a BOl report within 90 days of the effective date of the entity formation. Any U.S. entity formed prior to January 1, 2024 must file a BOI report by January 1, 2025. ???? What if I miss the deadline? The civil penalty for each day a BOI Report is late is $591 a day with a maximum of $10,000. The criminal penalty for willfully failing to file a BOI Report is up to two years in prison and a fine of up to $10,000 ?? ????How do I file? Use the link in the comments. Don’t use any other method as there are a lot of scam websites out there trying to get your personal data. Note that you have to file a separate report for each entity you own. ???? Termination 8?? Warranties 9?? AI Use ?? Publicity And more (dispute resolution, governing law, venue, notices, signatures, etc.) WORD OF CAUTION: How the provisions above are drafted should be vastly different in situations in which you ARE the contractor versus bringing on a contractor.
