The Corporate Transparency Act (“CTA”) remains in flux, with shifting regulations and ongoing legal challenges creating uncertainty for reporting companies. Currently, there are no injunctions preventing CTA enforcement, but FinCEN has issued guidance that the CTA and beneficial ownership information report filing requirements will not be enforced and no penalties levied for non-compliance by the March 21, 2025 extended reporting deadline, applicable to most entities. FinCEN intends to issue a revised, limited rule focusing on foreign entities operating in the U.S. only. Klinedinst PC secures $2.9 million settlement on behalf of Non-Profit Foundation in Trust Dispute Klinedinst PC Shareholder Tara Burd recently secured a $2.9 million settlement on behalf of her client, a nationwide nonprofit foundation, in a lawsuit involving undue influence and fraud in connection with estate planning. For decades, one of the foundation’s most prominent volunteers promised to support the programming and benefits offered by the foundation through a substantial bequest at his passing. He memorialized his promises in two written contracts and multiple versions of his estate plan.?He oft-repeated verbally his goal of leaving behind a legacy in his name.?That legacy was at risk due to questionable last minute changes to his estate plan.?The foundation was thrilled with the result, and the generations of students that will benefit from the recovered endowment.
