We noticed there was a real gap that needed to be filled to help fast growing companies by partnering closely with leaders to help them design a workplace and culture that works for their unique teams. Essentially, an efficient and effective HR and People Consultant with a heavy emphasis on team, culture, and strategy. The practice is led by Erin Hinkle Robertson, a HR and People pro with over a decade of experience specifically with startups and high growth companies.     BOI Deadline is 41 Days Away! As a reminder, the initial reporting deadline for existing entities (those formed before January 1, 2024) to file a Beneficial Ownership Information (“BOI”) report is?January 1, 2025. Missing this deadline could result in hefty fines and/or legal penalties. To avoid setbacks, prioritize your BOI filing today. J&O has worked with Capitol Services on these filings; their tools and information can be found below: -Determine if your company is exempt using the?CTA Exemption Wizard. -Determine your beneficial owners using this?Beneficial Ownership Wizard. -Compile the required identification images for those without a?FinCEN ID. -Complete the?Employer Identification Application (EIN)?if needed (PDF w/ instructions). -Access?CapitolBCM?to build your BOI report and submit the accompanying files. We’ve been helping our clients navigate these filings and are happy to answer any questions. If you would like our assistance, please reach out to us as soon as possible. If you need our support and reach out after December 13th, time-sensitive rates will apply, and we cannot guarantee submission by the deadline of Dec 31st. If you have already filed, please send your FinCEN ID and BOI filing confirmation to J&O as proof of completion and we’ll save it in your corporate records. We’re here to support you!?

    On September 24th, J&O?Partner?Brie Kluytenaar?and Head of People?Erin Hinkle Robertson?hosted a breakfast panel at J&O's?office in Tribeca. Together with Kison Patel (DealRoom, M&A Science), John A. Bova (Operating Partner and PE Advisor), and Noah Obstfeld (VC + PE Partnerships @ Deel), they discussed how to effectively navigate the people-related challenges that can arise during an M&A event. What is the importance of Human Capital in M&A??In the context of M&A, human capital refers to the knowledge, experience, and capabilities of the employees in the company that is being acquired. Human capital is a critical consideration in M&A transactions because the success of the deal often depends on the team’s ability to execute the post-transaction plan and continue to drive business growth. A few important takeaways: -In any M&A deal, companies must assess the capabilities of the current team and plan for how the organization will support the strategic goals of the new and/or integrated company.? -Communicating effectively with employees throughout the M&A process is crucial for effectively managing change and maintaining morale. Due to confidentiality considerations and the sensitive nature of deal conversations, it is always important to have the senior leadership team aligned ahead of time on how to handle internal communications with employees while a potential deal is unfolding.? -It is essential?to identify strong leaders who can lead following the transaction to help steer the cultural integration and inspire their teams through the transition.
