The U.S. Department of the Treasury announced on March 2, 2025, that it will no longer enforce the Corporate Transparency Act (CTA) or its associated Beneficial Ownership Information (BOI) reporting requirements. The CTA, a federal law aimed at increasing transparency in corporate ownership to combat illicit financial activities, had mandated certain corporations and limited liability companies to report their beneficial owners to the Financial Crimes Enforcement Network.1? ? In a statement, the Treasury Department confirmed that it will not impose penalties or fines related to the BOI reporting rule under the current regulatory deadlines.2 Furthermore, the agency clarified that after forthcoming rule changes take effect, it will continue to refrain from enforcing any penalties or fines against U.S. citizens, domestic reporting companies, or their beneficial owners.3? ? This decision marks a significant shift in federal policy regarding corporate transparency and financial crime prevention. While the Treasury Department has not provided specific details regarding future regulatory changes, Sunday’s announcement signals a substantial rollback of enforcement measures under the CTA.4? ? The Treasury Department has indicated that additional guidance on the rule changes will be forthcoming.5 Businesses and stakeholders are encouraged to stay informed about further developments regarding corporate reporting obligations.? ?
