Change and Uncertainties Will Mark 2025 Annual Meeting Seasons, ISS Governance Forecasts ISS Governance today announced the release of its annual global outlook report,?Top Governance & Stewardship Trends for 2025,?an in-depth analysis examining trends and many key issues institutional investors and companies are likely to face in 2025. The main 2025 annual meeting, or “proxy,” seasons across the northern hemisphere will this year occur against a backdrop of fast-shifting regulatory environments and uncertain geopolitical risks, including potential trade wars and ongoing regional conflicts. “Many investors and their portfolio companies alike will face challenges during the annual meeting seasons this year reflecting economic and political changes and uncertainties, and the impact they may have on key governance and stewardship issues such as corporate risk oversight, supply chain management, M&A activity, executive compensation, climate risks, human capital management, as well as board oversight and accountability,” predicts Georgina Marshall, Global Head of Research for ISS Governance. 2024 European and US Activism Review Last year in Europe, activism in the UK and Germanic markets remained robust, according to a new report by ISS | Institutional Shareholder Services Special Situations Research unit. However, and for the first time in at least a decade, there were no activist campaigns in the Southern European markets spanning Italy, Spain, and Portugal. It’s unclear whether these market-specific trends will persist, but activism across the wider region is expected to remain strong in 2025. In fact, if the early signs of increased activity persist over the next 10 months, 2025 could be a record-breaking year. In the United States, meanwhile, the report suggests several themes from 2024 are also carrying over into the start of the new year. For example, succession planning was a key point of focus for Trian Fund Management, L.P. in its campaign at The Walt Disney Company. It was also a criticism at Masimo, where activist investor Politan’s multi-year campaign revealed concerns with various elements of corporate governance. There is no sign at this point that activism focused on succession planning or activism at large-cap companies will slow down, according to the report.
