Why are secured transactions important in the global marketplace? They facilitate access to credit and capital, especially in cross-border trade and investment. By reducing risk for lenders and broadening the borrower base, secured transactions foster economic growth and financial stability. Secured transactions allow assets to be monetised and leveraged, creating liquidity and allowing reliance on enforceable security interests across borders. Cross border secured transactions present unique challenges to private international law. These include the determination of which laws are applicable, and whether parties have the autonomy to make their own choice of law. The law applicable would impact on the recognition and perfection of security interests and priority rules. Questions also arise in the determination of the competent forum – which court would have the jurisdiction to hear disputes related to the secured transaction? How would decisions be recognized and enforced? What are the current and anticipated related to secured transactions at the #HCCH? The HCCH Experts’ Group on Central Bank Digital Currencies (CDBCs) concluded its second meeting last week, with consensus to consider the applicable law and jurisdiction questions that arise in the collateralisation of wCBDCs. The HCCH Digital Tokens Project concluded its work in October, with experts unanimously concluding that work should continue on the study of the private international law implications of digital tokens. This would include considerations on the law applicable in cases when a third party had acquired a position in a digital token as a collateral. The participants in the Project also discussed specific case studies such as cryptoassets and agrotokens, and their significance in the secured transactions space, in particular in relation to matters relating to jurisdiction and applicable law. Participants agreed that an international cooperation mechanism may be necessary and desirable in this regard. These conclusions will be presented to the HCCH’s Council on General Affairs and Policy, ahead of their next meeting in March 2025. This morning, I spoke to these and other developments relating to secured transactions at the HCCH at the 7th Conference on International Coordination of Secured Transactions Reform, being held in Istanbul, Türkiye, and online. It was a pleasure to speak on the panel with colleagues from our sister organisations, Anna Veneziano of UNIDROIT - International Institute for the Unification of Private Law and Jae Sung Lee of UNCITRAL: United Nations Commission on International Trade Law.
