  • Corporate Transparency Act Reporting Requirements Again in Force with Extended Deadline; FinCEN to Amend Reporting Rule The Corporate Transparency Act (CTA) reporting requirements are back in effect following a ruling on February 18, 2025, by the U.S. District Court for the Eastern District of Texas in the case of Smith, et al. v. U.S. Department of the Treasury, et al., Case No. 6:24-cv-00336. The Financial Crimes Enforcement Network (FinCEN) has announced that companies now have an extended deadline of March 21, 2025, to report their beneficial ownership information (BOI). In light of this decision, FinCEN also announced that it will be examining opportunities for granting further reporting deadline accommodations, with a priority for those entities posing the most significant national security risks. FinCEN also announced that later this year it will be issuing a revision to the BOI reporting rule, with the aim of easing the reporting burdens on lower-risk entities, such as many small U.S. businesses.   • Filing Threshold Calculation Exclusion For Spousal Community Progressive Estate Tax Reform Results in Changes to Valuations for Deaths Occurring After January 1, 2025 More and more often as property values increase, married spouses are required to file a Washington estate tax return when their spouse dies. Most residents are not aware that the filing requirement applies even when no tax is due. What that means is when you die in Washington if your total gross estate including life insurance, home value (not equity), together with all other assets exceeds $2,193,000 your estate must file a Washington estate tax return. That value is easy to reach with a life insurance policy, retirement account, and a home.?? ? Good news!?House Bill 1867?changes that for estates effective January 1, 2025. The new law alters the state’s estate tax filing requirements. The bill eliminates the requirement for married individuals with a qualifying family residence, to file an estate tax return. This applies to estates where the decedent’s spouse inherits the residence and the remaining estate value, minus the residence, is less than the applicable exclusion amount.   • Yet Another CTA FinCen BOIR Filing Update: Once again, the requirement to file a BOIR through Fincen has been delayed by court action. On?December 23, 2024, a panel of the U.S. Court of Appeals for the Fifth Circuit granted a stay of the district court’s preliminary injunction entered in the case of?Texas Top Cop Shop, Inc. v. Garland. This stay was lifted by a different court panel on December 26, 2024. According, for the moment, reporting companies are not required to file beneficial ownership information with FinCEN. To avoid being hit with fines when and if this court action results in the filings being required, filing now is the safest course of action.   • Corporate Transparency Act (CTA) New Deadline: January 13, 2025 An appellate court ruled in favor of the federal government in reversing a nationwide injunction against the Corporate Transparency Act (CTA) which included the Beneficial Ownership Information Reporting requirements. The decision means that the CTA’s reporting requirements are now back in full effect. We recommend you make sure your Beneficial Ownership Information reports are filed by the end of the year.?Note if you are not an owner of a business entity like an LLC or Corporation, these filing requirements do not apply. In light of the appellate court ruling,?the government announced that the December 31st?deadline has been extended to January 13th, 2025 to allow additional time to comply with the reporting requirements.?
