Client Alert – Corporate Transparency Act : BOI Reporting Effectively On Hold Pending Further Updates from U.S. Treasury Department - On February 27, 2025, FinCEN announced that it will not issue any fines or penalties or take any enforcement actions against companies for the failure to file or update beneficial ownership information (“BOI”) reports pursuant to the Corporate Transparency Act (the “CTA”) until the United States Department of the Treasury provides new guidance.?This was confirmed by a press release issued on March 2, 2025 which announced that, with respect to the CTA, the Treasury Department will not enforce any penalties or fines associated with the BOI reporting rule under the current deadlines. Read our latest Client Alert on the Good Cause Eviction Law. Recently the New York State Legislature passed the Good Cause Eviction Law in NY CLS Real P, Art. 6-A §§ 210-218. The Good Cause Eviction Law is an “opt-in” law meaning that a municipality must adopt it by local law for the new law to be enforced.[1] However, even if a local municipality has not adopted the Good Cause Eviction Law, the law (throughout all of New York State) requires a landlord to include a “Good Cause Eviction Law notice” with any initial lease, renewal lease, notice of rent increase, and/or notice related to eviction. Read our latest Client Alert on the Corporate Transparency Act: Reporting Requirements Still on Hold Despite Supreme Court Ruling - On January 23, 2025, the United States Supreme Court issued a stay of the preliminary injunction enjoining enforcement of the Corporate Transparency Act (the “CTA”) and the reporting requirements thereunder that was issued back in December by a federal court in Texas in connection with one of the pending cases challenging the constitutionality of the CTA (Texas Top Cop Shop, Inc. v. McHenry - formerly, Texas Top Cop Shop v. Garland).?Despite that Supreme Court ruling, FinCEN has confirmed that because a separate nationwide order enjoining enforcement of the CTA, which was issued by a different federal judge in Texas in connection with a different pending case regarding the CTA (Smith v. U.S. Department of the Treasury, dated January 7, 2025), still remains in place, reporting companies are not currently required to comply with the CTA or file Beneficial Ownership Information Reports (“BOI Reports”).?
