Atlas Energy Solutions Inc. today announced that it has entered into a definitive agreement with Hi-Crush Inc. to acquire all of Hi-Crush’s Permian Basin proppant production assets and North American logistics operations in a transaction valued at $450 million. The transaction consideration includes $150 million in up-front cash, $175 million in shares of common stock of AESI and $125 million in deferred cash payments in the form of a Seller’s Note. Both the up-front cash consideration and the principal amount of the Seller's Note are subject to revision for customary post-closing adjustments. Congratulations to the Hi-Crush Kermit team on winning this years Hi-Crush food drive! During Hi-Crush's annual holiday food drive, employees across the country donated 35,277 items to local food pantries. Each company location was ranked on per employee donation basis, and the team at our Kermit plants donated 16,354 total items to take home the title! Thank you to all HCR employees for your tremendous generosity in supporting this important cause. It was remarkable to see the company rally together to support those in need.?
