After hosting U.S. Commodity Futures Trading Commission Commissioner Caroline Pham during the past two years, I was grateful that U.S. Securities and Exchange Commission Mark Uyeda accepted my invitation to join #KBW2024 - which was timely given the upcoming US elections & South Korea's growing role in advancing digital assets. ???????? Unlike #SEC Chair Gensler, Commissioner Uyeda has been a strong critic of the SEC's inconsistent approach to digital asset regulation. In Jan '24, he flagged key issues with the SEC's handling of spot #BTC ETPs: 1?? “Arbitrary and capricious manner” of applying the “significant size” test; 2?? Introducing the “other means” test and misleading the industry about the “significant size” criteria; and 3??? Ignoring more investor-friendly in-kind options. In March '24, he challenged the SEC’s broad application of the #Howey test to digital assets and pointed out that similar assets (e.g., land rights - requiring managerial efforts of others for development) are not treated as investment contracts. ?? By July '24, Commissioner Uyeda called for a tailored approach to digital assets and argued that existing S-1 disclosures neither protect investors, nor facilitate capital formation for crypto issuers. In my chat with him, he recommended looking at initiatives from the EU and South Korea. ???????? Commissioner Uyeda’s principled stance and consistent critique offer a refreshing perspective on how we can advance the #Web3 industry. His focus on technologically informed and proportionate regulatory standards is crucial for the industry’s sustainable growth. ?? I am committed to fostering open dialogue and collaboration to enhance regulatory standards through Hashed and Hashed Open Dialogue for Law [HODL]. Engaging with leaders like Commissioner Uyeda has been pivotal in advocating for these much-needed changes. ??
