Corporate Compliance Alert: Treasury Announces Suspension of Corporate Transparence Act (CTA) Enforcement On March 2, 2025, the U.S. Treasury Department announced a significant change in the enforcement of the CTA and its Beneficial Ownership Information (BOI) reporting requirements. Key takeaways from the announcement: - The March 21, 2025 BOI filing deadline is now on hold. - The Treasury Department will propose new rulemaking to limit BOI reporting to foreign entities only. - No penalties or fines will be enforced against U.S. citizens, domestic reporting companies, or their beneficial owners under the prior deadlines or once new rules take effect. - Foreign entities and those with foreign partners should ensure compliance readiness, as new rule changes could be implemented at any time.
