On February 18, 2025, the Financial Crimes Enforcement Network (FinCEN) announced a 30-day extension for Beneficial Ownership Information (BOI) reporting, setting a new deadline of March 21, 2025, for most reporting companies. This decision follows a ruling by the U.S. District Court for the Eastern District of Texas in?Smith, et al. v. U.S. Department of the Treasury, et al., which reinstated BOI reporting obligations under the Corporate Transparency Act (CTA). Recognizing the compliance challenges for businesses, FinCEN is granting additional time while also assessing further deadline modifications. Additionally, FinCEN plans to revise BOI reporting requirements to ease regulatory burdens on small businesses and lower-risk entities. A judge in the U.S. District Court of the E.D. Texas has issued a nationwide injunction on December 3, 2024, blocking enforcement of the Corporate Transparency Act (CTA). The law, which requires U.S. companies to report beneficial ownership information (BOI) to combat financial crimes, was challenged as unconstitutional. The injunction halts the BOI reporting obligations, including the January 1, 2025 deadline, pending further legal review.
