Le BOARD comme sparring partner du management ? Ravie d’avoir été cette semaine aux c?tés de leaders remarquables sur ce sujet des Boards Angeles Garcia-Poveda Monica de Virgiliis et Gustave GAUQUELIN, au Giverny de la Gouvernance organisé par Cercle de Giverny et Chapter Zero France. Nous entrons une nouvelle ère en matière de gouvernance et de leadership. ?? Réinventer les modèles d’affaires pour répondre aux limites planétaires. Oui, mais pas si simple. La gouvernance joue un r?le pivot pour réussir cette transformation. Alors que les BOARDS agissent comme sparring partner du management, 70% d’entre eux reconnaissent ne pas être efficaces lorsqu’il s’agit d’intégrer l’ESG dans la stratégie et la gouvernance de l’entreprise. Le temps presse, nous sommes à la croisée des chemins, où les actes comptent plus que les mots. Nous avons une décennie pour transformer les modèles d’affaires. L’impératif d’engagement des Conseil d’Administration n’a jamais été aussi pressant. ??Voici ce que je retiens : ? Le r?le du BOARD varie : challenger quand tout va bien, supporter quand tout va mal, mais toujours déterminant. ? La composition des BOARDS avant tout, choisir des administrateurs et administratrices convaincues. Nous n’avons plus le temps. ? L’influence clef des BOARDS sur les politiques d’achats responsables ou encore l’intégration des critères ESG dans la rémunération variable des équipes dirigeantes? ? La formation des membres des Conseils d’Administration, essentielle quand 44% des membres estiment ne pas avoir les connaissances et compétences nécessaires. ? Dépasser l’enjeu de compliance et s’attaquer à la transformation des business models nécessite authenticité et courage !
