Glass Lewis has published a new article that examines the cost of CEO transitions and succession planning. Our data shows that while one-time executive awards have declined year-over-year, they still represent a significant cost to companies and shareholders. Key Insights: ? Total one-time award value for the S&P 500 dropped from $1.73B to $1.54B (-11%). ? The number of one-time awards fell 16% year-over-year. ? Sign-on awards increased in proportion, yet the average value declined ($3.3M → $2.5M). Many institutional investors are incorporating director commitments policies into their evaluation of directors, prompting more companies to follow suit. Our U.S. Research team analyzed these policies over the past year and found that nearly three-quarters of Russell 1000 companies (73.5%) disclosed a director commitments policy, a 3.5% increase from 2023. While these policies are becoming a market best practice, approximately two-thirds of companies in our sample allow boards to grant exceptions.
