FW Cook Research Report: 2024 Top 250 Report #executivepay Since 1973, FW Cook has published a report each year on long-term incentive grant practices for executives. Lauren Shatanof, CEP, Voytek Sokolowski , and James Lutz authored the report this year (our 52nd edition), which presents information of practices at the 250 largest U.S. companies in the S&P 500 Index, with special focus on trends over the last five years. Key takeaways this year are as follows: 𝗚𝗿𝗮𝗻𝘁 𝗧𝘆𝗽𝗲 𝗣𝗿𝗲𝘃𝗮𝗹𝗲𝗻𝗰𝗲: The prevalence of performance shares has remained stable (93% of companies), while the use of stock options is decreasing (-5 % points since 2019), and the prevalence of restricted stock is increasing (+3 % points since 2019). 𝗟𝗧𝗜 𝗠𝗶𝘅: Among all companies, CEO LTI mix continues to be heavily weighted towards performance awards (~60%). The weighting of performance awards increases (to ~70%) when companies do not grant stock options. 𝗨𝘀𝗲 𝗼𝗳 𝗧𝗼𝘁𝗮𝗹 𝗦𝗵𝗮𝗿𝗲𝗵𝗼𝗹𝗱𝗲𝗿 𝗥𝗲𝘁𝘂𝗿𝗻 (𝗧𝗦𝗥): The number of companies using TSR as a measure has increased (+8 % points since 2019); however, companies are de-emphasizing the impact of TSR in the overall payout. • More companies are combining TSR metrics with at least one other metric. • More companies are using TSR as a modifier rather than a metric. 𝗣𝗲𝗿𝗳𝗼𝗿𝗺𝗮𝗻𝗰𝗲 𝗠𝗲𝘁𝗿𝗶𝗰 𝗚𝗼𝗮𝗹 𝗥𝗮𝗻𝗴𝗲𝘀: Performance metric goal width (i.e., from threshold to maximum) is widening, making it more likely to earn at least some portion while making a maximum earnout more challenging.
