Corporate Transparency Act Reporting Delayed! The Fifth Circuit Court has reinstated a nationwide injunction against the Corporate Transparency Act (CTA), providing temporary relief for Main Street businesses. This means businesses are not required to comply with the reporting rules for now. What’s next? ?? The injunction is back in effect. ?? Key arguments will be heard on March 25, 2025. ?? Franchise Business Services (FBS) is closely monitoring additional rulings and pushing for further delays into 2025. This pause is a win for small business owners, and we’ll continue advocating for solutions that protect franchisees. ?? Corporate Transparency Act (CTA) Reporting Reinstated?? After a recent Federal Court ruling, the Corporate Transparency Act (CTA) is back in effect, requiring many businesses to report beneficial ownership information (BOI) to FinCEN. Here's what FBS members need to know: ??? New Filing Deadlines: If your company was formed before Jan. 1, 2024, your new deadline is Jan. 13, 2025. Companies formed between Sept. 4 – Dec. 23, 2024, must file by Jan. 13, 2025. For businesses formed after Jan. 1, 2025, the deadline to submit your filing is within 30 days of registration. The CTA is complex, and its requirements may affect members differently. The U.S. Department of Justice has filed a Notice of Appeal on behalf of the Treasury Department, pausing the Beneficial Ownership Information (BOI) reporting requirement. FinCEN has clarified that operators are not obligated to file BOI reports by year-end and will not face penalties during the preliminary injunction. Filing voluntarily remains an option for those who prefer to submit.
