A Fortress affiliate has launched a tender offer to acquire Joban Kosan Ltd, the operator of Spa Resort Hawaiians, which is Japan’s first Hawaiian-themed hot-springs resort and hospitality complex. Joban Kosan’s board has unanimously agreed to recommend that shareholders tender their shares. The Spa Resort Hawaiians acquisition will extend Fortress’ track record in acquiring regional Japanese hotels, investing in capital improvements, and applying operations experience from Fortress-backed hospitality platform MyStays. Fortress-managed funds plan to invest to enhance and upgrade the complex, including the 430-room hotel, a golf course and indoor water park. The transaction is the second major hotel acquisition in Japan this year by Fortress affiliates, following the purchase of the Phoenix Seagaia Resort from Sega Sammy Holdings in May. The Red Lobster restaurant chain has announced its exit from Chapter 11 restructuring and the completion of its acquisition by RL Investor Holdings LLC – an entity created by funds managed by affiliates of Fortress Investment Group, alongside co-investors TCW Private Credit and Blue Torch Capital. “Red Lobster is now a stronger, more resilient company, and today is the start of a new chapter in our history,” said Damola Adamolekun, CEO of Red Lobster. Earlier this year, Fortress announced a ￡750 million forward flow agreement with UK-based Tabeo, a software company that helps dentists and vets manage payments, and makes primary care more affordable for patients. The financing agreement with Fortress is helping Tabeo to grow: as a software company, Tabeo needs stable financing partners who commit to purchasing the consumer loans it originates at scale, helping keep the company's balance sheet geared towards software development and innovation. In an interview for Fortress’s website, Tabeo CEO Paul Ebert talks about the agreement. The Wall Street Journal has taken an in-depth look at the future of Red Lobster, following yesterday’s court approval of the company’s Chapter 11 reorganization plan. One key part of the plan is the acquisition later this month of Red Lobster by a new entity backed by Fortress and partners TCW Private Credit and Blue Torch Capital, and the concurrent appointment of Damola Adamolekun as Red Lobster’s new CEO.
