    How are portco executives thinking about compensation? At Falcon, we’re seeing shifts in how portco executives view compensation concerns — and it’s creating new challenges and opportunities for sponsors to navigate.? ?? Non-executive salaries are typically reviewed annually, while executive salary adjustments are often infrequent, if they happen at all.? ?? Half of executives report that their annual bonuses don’t incentivize outperformance because payouts are capped at the target amount.? ??? Only 59% of sponsors set criteria for annual performance bonuses on both MBOs and EBITDA rather than EBITDA alone, even though MBOs can be a powerful alignment tool.? What this means for you: ?? Sponsors: Consider aligning incentives by combining EBITDA- and MBO-based bonuses while adding upside for budget outperformance. ?? Executives: Look closely at bonus structures when negotiating compensation and ?assess the viability of bonus targets, regardless of whether they include MBOs or are limited to EBITDA plans. ? ?
