First of the 8k filings - VF Corporation owns Vans and The North Face, among others.
We have our first official 8k filing after the new SEC cybersecurity disclosure rule went into effect yesterday. VF Corporation, the owner of Vans, The North Face, Timberland and Dickies, is having trouble fulfilling orders after a Wednesday (Dec. 13) cyberattack. From the 8k: “As the investigation of the incident is ongoing, the full scope, nature and impact of the incident are not yet known. As of the date of this filing, the incident has had and is reasonably likely to continue to have a material impact on the Company’s business operations until recovery efforts are completed. The Company has not yet determined whether the incident is reasonably likely to materially impact the Company’s financial condition or results of operations.” It appears VF corp determined the incident was material to their operations very quickly, which makes sense, since they are predicting they will have trouble fulfilling orders right before Christmas (kind of a big deal for retailers ??). It’s important to note that VF Corp has no way of knowing the financial impact of this incident at this point, yet they still determined the incident was material and therefore needed to be disclosed to the SEC. Materiality is not only about determining the financial impact. VF Corp’s stock price dropped 7.79% when the news broke of the disclosure yesterday.
