We congratulate Partner Kelley Morris Salvatore and Senior Associate Stacy Thomsen for helping to secure important victories for their clients in both Rhode Island state and federal courts this week -- decisions which require the Town of Johnston to discharge an illegal recording against our clients' property purporting to "take" by eminent domain. The ruling effectively returns the property back to our clients, who intend to build affordable housing units. In addition, the federal court issued a temporary restraining order that stops the town from taking other actions while this case continues. We succeeded in defeating a motion to remand to state court, winning on both fraudulent joinder of non-diverse defendants and relation to a pending bankruptcy proceeding as independent grounds for federal jurisdiction. We congratulate Ashwini Jayaratnam and David A. Sullivan for securing this victory on behalf of our client.

We advised a prominent New York-based private investment firm on its junior preferred investment, made through a special purpose vehicle, in a leading software, data, financial, and management services provider for music artists and independent record labels at a post-money valuation nearing $1 billion, handling all aspects of the transaction, including negotiations, due diligence, drafting of junior preferred investment documents, and closing. Kelley Morris Salvatore, who helped rewrite Rhode Island's laws regarding affordable housing, and colleague Stacy Thomsen were interviewed as part of an ongoing case in Johnston regarding property slated for affordable housing that may be lost to eminent domain. "Clearly, the mayor wants to take our client's property because he doesn’t want affordable housing," Morris Salvatore said.
