Serena Chiquoine and the Dady & Gardner, P.A. team successfully represented a former franchisee in a pivotal case involving the ability to continue providing mental health services after the termination of the franchise agreement. The court’s denial of the franchisor’s motion for a preliminary injunction ensures, at this time, that our client can continue operating independently and our client’s patients can continue receiving their preferred mental health treatment. The court held that the “public interest is harmed if granting a preliminary injunction would impede access to reliable healthcare.” As a long-time advocate for mental health issues, this case carries deep personal and professional significance for Serena. Prior to her legal career, Serena spent much of her time organizing and promoting community-based mental health resources. In 2007, Serena received Mental Health America’s “mPower Award" for her efforts to fight stigma and educate others about mental health issues. She traveled to Washington, D.C., to meet with members of Congress in support of the Mental Health Parity and Addiction Equity Act of 2008, and was a guest speaker at the National Institutes of Health and SAMSHA’s “Food for Thought” speaker series. Her advocacy and commitment to this critical issue underscore the importance of cases like this, which protect access to mental health care services for those in need and allows our former franchisee clients to continue their efforts to benefit their communities. Important Update: Corporate Transparency Act (CTA) On December 27, 2024, the U.S. Court of Appeals for the Fifth Circuit vacated the stay on a nationwide preliminary injunction in the ongoing Corporate Transparency Act (CTA) litigation. This decision effectively reinstates the injunction, thereby halting the enforcement of the CTA's reporting requirements for now. Previously, the stay had allowed the government to proceed with implementing the law, which mandates that certain entities disclose their beneficial ownership information to the Financial Crimes Enforcement Network (FinCEN). With the stay vacated, the original injunction is back in place which bars enforcement of the CTA while the case continues through the courts. This ruling, coming just days after the original injunction was stayed, shows how fluid the situation with the CTA is.? Businesses which are subject to reporting obligations should keep in mind the ever changing nature of the CTA’s enforceability and take appropriate steps to be prepared for what may come next. On December 23, 2024, the U.S. Court of Appeals for the Fifth Circuit reinstated the Corporate Transparency Act (CTA) compliance requirements by granting an emergency stay of a nationwide preliminary injunction. The injunction, issued earlier in December by the U.S. District Court for the Eastern District of Texas, had temporarily blocked the enforcement of the CTA, including the January 1, 2025, deadline for reporting beneficial ownership information. The Fifth Circuit’s decision allows the CTA to proceed while an expedited appeal is pending, reversing the lower court’s ruling that raised constitutional concerns about the law and its associated regulations.
