As if the Holidays couldn't get any crazier! Last week the 5th Circuit Court of Appeals issued an order to stay the nationwide injunction pausing the reporting obligations under the Corporate Transparency Act. Then only days later, the 5th Circuit issued an order vacating their previous order and reinstating the injunction! This means that as of now all CTA reporting requirements are on hold and entities do not need to comply with the January 1, and January 13 deadlines imposed by FinCEN. It is important to note that the court cases are ongoing and nothing is final. We will continue to update clients relative to their obligations under the CTA. Breaking News: FEDERAL COURT IN TEXAS BLOCKS THE CORPORATE TRANSPARENCY ACT On December 3, 2024, the United States District Court for the Eastern District of Texas issued an injunction blocking the Government from enforcing the Corporate Transparency Act ("CTA"), less than one (1) month before the reporting deadline. In Texas Top Cop Shop, Inc., et. al., v. Merrick Garland, Attorney General of the United States, Et. Al., Civil Action No.: 4:24-CV-478, the Plaintiffs argued that the CTA falls outside of Congress's powers to regulate interstate and foreign commerce and Judge Amos Mazzant III agreed. This means that at this time, there is no requirement to comply with the reporting requirements of the CTA on or before January 1, 2025.
