As we celebrate our 33rd year in business, we are excited for this new, larger office, which will better support our ever-growing practice. We will be just minutes up York Road from our old building and a stone’s throw from Interstate-695, in the historic 1301 York Road office building, home of the Peppermill restaurant. Our new building has unlimited, free client parking. Our phone numbers, fax number, and email addresses will remain the same. If the Firm serves as Resident Agent for your business, we will prepare and file a Change of Address of Resident Agent with SDAT at our sole expense.?

As a follow up to our prior post, the recently enacted Corporate Transparency Act (“CTA”) requires many businesses to report and disclose information regarding the individuals who own or control the business (also known as the “beneficial owners” of the company) to the U.S. Treasury Department’s Financial Crimes Enforcement Network (“FinCEN”). Please find below a summary of the upcoming deadlines for filing CTA Initial Reports. The documents that will be required for the initial submission will include, at a minimum, the following: ·????????Copies of all corporate, partnership and limited liability company documents, including all amendments thereto.?Note – this is required to determine the identity of the company’s beneficial owner(s) and will not be filed with FinCEN; and ·????????Name, residential address, date of birth of each beneficial owner and a clear copy of the driver’s license or passport of each beneficial owner. BULLETIN: CORPORATE TRANSPARENCY ACT The recently enacted Corporate Transparency Act (“CTA”) may have a significant impact on your business and may require you to take immediate action to be in compliance. Beginning on January 1, 2024, many businesses are required to report and disclose information regarding the individuals who own or control the businesses (“Beneficial Owners”) to the U.S. Treasury Department’s Financial Crimes Enforcement Network (“FinCEN”) pursuant to the CTA. Under the CTA, Beneficial Owners include all individuals who directly or indirectly either (a) exercise substantial control over the business or (b) own or control twenty-five percent (25%) or more of the ownership interests of the business. The timelines within which these businesses are required to submit the required information and documentation (the “Initial Report”) is summarized in the image below. The CTA also requires businesses to submit updated or corrected reports with FinCEN if the information submitted in the Initial Report has changed or is no longer accurate (each, a “Change”). Updated or corrected reports are required to be filed with FinCEN within thirty (30) calendar days after a Change occurs. ?
