?? Attention Cities Management Clients: FinCEN Extends Beneficial Ownership Reporting Deadline & Plans Rule Revision The U.S. District Court’s February 18, 2025, decision in Smith, et al. v. U.S. Department of the Treasury, et al. has reinstated beneficial ownership information (BOI) reporting requirements under the Corporate Transparency Act (CTA). To allow businesses additional time to comply, FinCEN is extending the BOI reporting deadline by 30 days from February 19, 2025, for most companies. Additionally, the Treasury Department is evaluating further deadline adjustments and plans to revise the BOI reporting rule to ease the burden on lower-risk entities, including many U.S. small businesses. ?? Corporate Transparency Act (CTA) Update – February 10, 2025 ?? Eastern District of Texas The Samantha Smith case remains the only active nationwide injunction blocking enforcement of the Corporate Transparency Act (CTA) after the Supreme Court stayed the Texas Top Cop Shop injunction. ?? The DOJ has requested the court lift the injunction, and the plaintiff has until Friday, February 14 to respond. ?? A court ruling is expected next week, which could reinstate the BOI filing requirement with a 30-day deadline if the injunction is lifted.
