BVCA publishes updated Series A Model Documents This week, the BVCA published updated versions of the Series A Model Documents which help to facilitate transactions taking place at the Series A investment stage. The Model Documents are designed to: ?? Promote industry-standard legal documentation in the UK so investors and entrepreneurs can focus on deal-specific matters ?? Save both time and money following the precedent established in the US ?? Encourage all parties to adopt these documents as the starting point for their investments The updated documents include revised versions of the Subscription Agreement, Shareholders’ Agreement and Articles of Association, as well as a new Summary of Terms to be used at the term sheet stage. The accounting briefing on the treatment of preferred shares is also still available for reference. A working group will continue to update the documents on a regular basis to encompass market developments. Commitment to #diversity, #equity and #inclusion remains strong as private capital makes steady progress. A new report by Level 20 and the BVCA, has found that the proportion of women working in #privateequity and #venturecapital has increased over recent years. Diversity in UK Private Equity and Venture Capital 2025 finds that 27% of UK-based investment professionals are women, up from 24% in 2023. Now in its fourth edition, this report marks the largest Level 20 and the BVCA analysis of representation across the UK PE and VC industry. ? ?????? ???????????????? ?????? ???????? ??????????????: ?? The UK is behind only France and Sweden when looking at the representation of women in investment teams across Europe.? ???? Women now hold 15% of senior investment roles, up from 12% in 2023.? ?? 18% of investment professionals in the UK are from a Black, Asian and other non-White ethnic background, in line with UK national averages. The industry has demonstrated its continued commitment to make strides in DE&I representation. Reflecting on findings published in 2018 using a different methodology, previous data showed that just 14% of investment professionals in private equity were women and only 6% of senior roles were held by women. ? An integral part of the BVCA’s mission is to support firms to build inclusive environments in which everyone can thrive.?Level 20 seeks to increase the percentage of women in senior positions, particularly senior investment roles, in European private equity and venture capital. The BVCA’s Chief Executive, Michael Moore emphasised: ? “This report provides a robust, consistent data set, which can be used to track change and progress. The industry has made improvements in its representation in recent years, but it still has a long way to go, particularly at senior levels. Parliamentarians from the largest parties across the House of Commons learned about the innovation and success shown by the private capital backed companies as they visited businesses across the UK. ? Monday: ?? Harriet Cross, the MP for Gordon and Buchan, visited HCS Control Systems, where she heard about the company’s growth journey, as it has continued to expand its operations, including opening an Aberdeen facility in Harriet’s constituency of Gordon and Buchan in 2018. ? Wednesday: ?? Saqib Bhatti MBE, the MP for Meriden and Solihull East and Shadow Minister for Culture, Media and Sport, visited labelling management firm Kallik, backed by FPE Capital.?During the visit, Saqib learnt about how the company has revolutionised artwork and labelling processes, as well as their recent expansion internationally, scaling operations to India. ? Thursday: ?? Kate Dearden MP, the Labour MP for Halifax, visited dispersions innovator Aquaspersions Limited, backed by CBPE Capital. As the global leader in the manufacturing and supply of these products, the private capital-backed organisation demonstrated how CBPE Capital has accelerated its growth. ? ?? John Milne, the Lib Dem MP for Horsham, visited private capital-backed home care management software provider, CareLineLive. The company showcased their ambition to use digital technology to improve working practices, reduce costs, streamline operations, and ultimately provide carers with more time to focus on delivering exceptional care to their?clients. ? ?? These visits, facilitated by the BVCA, demonstrated the valuable impact private capital is having across the UK’s nations and regions through the creation of jobs, support for the local economy and business expansion.

The BVCA's annual CFO-COO Reception brought together senior finance and operations professionals from private equity and venture capital firms this month. As part of the event, attendees heard from IQ-EQ with a short fireside chat on Alternative investments: shaping the future with data. This explored how the alternatives industry is preparing for the future, with a focus on aligning operations and technology investments with business strategies. Key discussion points included enhancing data analytics capabilities, leveraging artificial intelligence, generating actionable insights and improving data quality and accessibility.
