In a new BRiefing, Shlomo D. Katz discusses the minimum salary level for exemption from the Fair Labor Standards Act (FLSA). “The FLSA is the basic federal law requiring payment of a minimum wage (currently $7.25 per hour) and payment of overtime for working more than 40 hours in a workweek,” he wrote. “The FLSA further says that the two requirements just mentioned — minimum wage and overtime — do not apply to ‘any employee employed in a bona fide executive, administrative, or professional capacity,’ as those terms are ‘defined and delimited’ by the U.S Department of Labor.” Click image to read the full post.

Partner Wayne Dennison returns to Court TV's "Vinnie Politan Investigates" to discuss Karen Reid’s trial for the murder of Officer John O’Keefe, which ended in a deadlocked jury, raising questions about prosecution and defense actions that led to a Supreme Court appeal. “They knew for days that there was a real possibility of a hung jury here,” Dennison said. “They’ve been grieving over this issue for days; it’s not as if this notion came out of the blue. They even made a previous motion for mistrial, so at this point it’s not as if this is a new idea.”

Franchise insurance is a critical tool designed to protect both franchisors and their principals from numerous risks and liabilities. A recent federal court decision provides confirmation that franchise-specific claims are not barred from coverage just because they include terms such as fraud or contract. Partner Jared Sorin is quoted by The Wall Street Journal regarding a lawsuit where Alcon Research, a minority shareholder in Aurion Biotech, is using its blocking rights to prevent the company from going public. Aurion is countersuing, claiming the move is an attempt to corner the company and purchase it at a low-cost. Blocking rights, which are negotiated between companies and investors, require a simple majority for approval, but sometimes investors have the leverage to bargain for higher percentages, Sorin explained. “It’s important to think carefully about these provisions, because they can have a long-term impact.” Click image to read the full article.
