**Important update on the Corporate Transparency Act** On Monday, December 23, 2024, the United States Court of Appeals for the Fifth Circuit granted the U.S. Department of Justice's motion for a stay of the lower court's nationwide injunction against enforcement of the Corporate Transparency Act (CTA). This means the CTA is once again enforceable, and each business entity that was formed before January 1, 2024, and does not fit within an exemption from the CTA's reporting requirements must file its initial Beneficial Ownership Information (BOI) report with the U.S. Financial Crimes Enforcement Network by no later than Monday, January 13th, 2025, if it has not already done so. The FinCEN BOI E-Filing System is located at boiefiling.fincen.gov At Bowie & Jensen we have been staying abreast of CTA developments and continue to help companies assess and address them. UPDATE ON CORPORATE TRANSPARENCY ACT (CTA) ? A federal judge in Texas issued an order blocking enforcement of the Corporate Transparency Act and regulations under it, nationwide, on Tuesday, December 3rd. The order came only four weeks before the deadline for most privately held companies that are not subject to industry-specific reporting regulations to file Beneficial Ownership Information Reports with the federal Financial Crimes Enforcement Network (FinCEN). The Department of Justice (DOJ) has the opportunity to appeal the order, and if it does so, the effect of the order could be temporarily suspended pending the outcome of the appeal, and the order could be overturned on appeal. As of the time of writing, the DOJ has not announced whether it will appeal and FinCEN has not issued any guidance in response to the order. So, although enforcement of the CTA and its regulations is currently blocked, such that companies that would otherwise be required to report cannot be forced to do so, it is not clear how long that will be the case. ? Matthew Esworthy was recently appointed to serve as the ABA Criminal Justice Section’s liaison to the ABA Cybersecurity Legal Task Force. The cross-disciplinary work of the ABA Cybersecurity Legal Task Force, comprised of cybersecurity leaders from the private and public sectors, has never been more critical. Collaborating with ABA entities, industry leaders, and government agencies, the Task Force provides attorneys, policymakers, and the public across the country with the latest insights on cybersecurity risks, how to protect data, and how to respond to a cyberattack, while focusing and coordinating the ABA’s analyses and assessments of cybersecurity proposals. Matthew Esworthy has been asked to serve on Maryland State Bar Association – MSBA Special Committee on Voir Dire. The Maryland Judiciary recently announced that it is considering an expansion of voir dire. Voir dire (which literally means "to speak the truth") is a process where Judges and attorneys ask potential jurors questions to determine if they are suitable to serve on a jury. While the MSBA remains neutral on any proposed changes, a new Special Committee on Voir Dire has been convened to consider updates given the proposed changes.
