In this insightful piece, John explores how legal professionals may unknowingly become "accidental securities brokers" through their involvement in transactions, potentially triggering registration requirements under securities law. John identifies four common groups who may face this risk: finders, business brokers, real estate syndicators and investment advisors. The consequences can be severe, including possible rescission of securities issuances in affected transactions. A key takeaway: "Counsel should understand the role of anyone involved in the transaction and should inquire about their compensation. If a transaction involves the sale of securities and a participant is receiving income based on the investment itself, consider whether that person should be registered as a broker."
