Legal Alert: FinCEN has temporarily suspended reporting requirements   Last week, a federal district court ruled that Congress exceeded its constitutional authority in enacting the beneficial ownership information (BOI) reporting requirements, and thus has suspended the deadline to file. While this ruling provides temporary relief, we recommend that businesses remain prepared and continue to gather the necessary ownership information. Navigating the FINCEN Corporate Transparency Act: A Guide for Businesses In today’s rapidly evolving regulatory landscape, businesses must stay aware of legislative changes and developments in order to maintain compliance and mitigate risk. In our latest blog, our real estate and business lawyer Brian Selogie reviews one such recent development: the Financial Crimes Enforcement Network (“FINCEN”) Corporate Transparency Act (“CTA”). This landmark legislation introduces significant implications and requirements for corporate transparency and anti-money laundering efforts in the United States. ESSENTIAL COMPLIANCE REQUIREMENTS In general, the most significant requirement imposed by the CTA on most entities is the filing of a Beneficial Ownership Information Report (“BOI Report”). It is important to note that reporting entities created or registered to do business before January 1, 2024, will have until January 1, 2025 to file their initial BOI Report. A reporting company created or registered on or after January 1, 2024, and before January 1, 2025, will have 90 calendar days after receiving notice of the company’s creation or registration to file its initial BOI report. This 90-calendar day deadline runs from the time the company receives actual notice that its creation or registration is effective, or after a secretary of state or similar office first provides public notice of its creation or registration, whichever is earlier. Reporting companies created or registered on or after January 1, 2025, will have 30 calendar days from actual or public notice that the company’s creation or registration is effective to file their initial BOI Reports with FINCEN.
