The recent Legislative proposal related to DExit reminds those who work with Delaware corporations why so many corporations call Delaware home.?Delaware has a very experienced and well-regarded Chancery Court with well-understood and largely predictable application of rules.?Delaware scrutiny of corporate transactions and the use of either the favorable for management 'business judgment rule' or, by contrast, the more onerous 'entire fairness' standard is the nub of the debate.?Delaware Amended Senate Bill 21 is Delaware's recent response. ( https://lnkd.in/emqYa3RM ) The certainty that Delaware provides directors is illustrated in the clear rules regarding corporate advancement in complex fact patterns.?Even non-board appointed 'Vice-Presidents' can reasonably expect to have protective advancement of defense costs advanced in Delaware consistent with Delaware law and a corporation's charter and by-laws.?For example, the court Gilbert v. Unisys (https://lnkd.in/eu2CUF2g ) held, "Plaintiffs were officers of Unisys, and are entitled to advancement as such." Delaware enjoys a history of predictable advancement rules for officers and directors, along with predictable laws regarding the application of D&O Liability insurance.
