Few days ago, one of our top clients reached out to us about increasing the share capital of an existing limited liability company from 1 million to 2 billion at the Corporate Affairs Commission (CAC). Yes, you heard that right! This is because, according to the published CBN Guidelines on licensing Framework/Categorization for Nigerian Payment System 2020 on CAC's website, the minimum share capital requirement for an International Money Transfer Operator (IMTO) company falls at 2 billion. But the Central Bank of Nigeria (CBN) Revised Guideline on IMTOs of January 2024 puts the minimum share capital of USD1million for foreign IMTOs and the equivalent for indigenous IMTOs. .
