Altitude Cyber just released our Q3 Cybersecurity Market Review. Q3 included 271 transactions totaling $12.9B in disclosed deal values across financing (199 deals, $3.0B) and M&A (72 deals, $9.9B). Top financing deals this quarter include Kiteworks’s $456M Growth round, Cribl’s $319M Series E, and Abnormal Security’s $250M Series D, while notable M&A transactions include EQT Group’s acquisition of Acronis for an estimated $4.0B, Mastercard’s acquisition of Recorded Future for $2.7B, and Salesforce’s acquisition of Own Company for $1.9B. We also feature a closer look at the strategic impact of Mastercard’s recent acquisition of Recorded Future for $2.7B in partnership with Cole Grolmus of Strategy of Security, along with a summary of Dr. Chase Cunningham’s review of the US Department of Defense’s Zero Trust Model in cybersecurity, and a preview of the upcoming RSA Conference in San Francisco from April 28th through May 1st, 2025. Q3 showed promise in strategic activity on both M&A and Financing fronts as the market continues to recover from 2023 lows, while new and innovative technologies across AI / ML, Identity, GRC, SecOps, and more are driving growth and investment across the industry. The Sophos-Secureworks deal announced earlier this week was one of the five largest (disclosed) cybersecurity services transactions we've ever seen. It made me curious — how does this one rank against other large services deals? I teamed up with Altitude Cyber to figure it out, and the data is pretty interesting. A few quick observations about the disclosed deals: – Google Cloud's acquisition of Mandiant is by far the largest, and probably no surprise. Mandiant was a public company with an iconic brand and a unique mix of both products and services. – The FishNet Security-Accuvant deal was actually a merger backed by Blackstone (which is why I called it a PE transaction, not strategic). Blackstone acquired Accuvant, then FishNet Security, and merged the companies together to form Optiv. – Blackstone acquired the cybersecurity, intelligence and services business unit of RTX (formerly Raytheon), not the whole company. This was primarily services-related, but not exclusively. – Sophos-Secureworks was the fourth largest cybersecurity services deal (by my classification, anyway). So, a very significant one, but not quite the largest. – Palo Alto Networks is better known for buying products, but its acquisition of The Crypsis Group was both large and impactful. They merged it into the existing Unit 42 threat intelligence group and used the acquisition to accelerate the division's incident response services. There are also several significant *undisclosed* deals. Some highlights: – KKR acquired Optiv in 2016, shortly after the merger between FishNet Security and Accuvant. This was almost certainly over the $1.5B combined valuation from the merger, which would be the second largest services deal after Mandiant. – Fortra acquired Alert Logic in 2022 to expand its MDR business. The deal value wasn't disclosed, but it probably would have been in the top 10. – Accenture acquired Symantec's MSSP business unit from Broadcom in 2020, which made Accenture one of the largest cybersecurity managed services providers. – Security On-Demand (backed by Nautic Partners) acquired Booz Allen Hamilton's Managed Threat Services (MTS) business to create DeepSeas in 2022. ----- Deals for cybersecurity product companies get a lot of attention — but the Sophos-Secureworks acquistion is a good reminder that lots of activity happens in services, too!
