What are the trends in use of Warranty & Indemnity (W&I) insurance? 11% of our M&A deals in 2023 provided for W&I insurance. Data from the previous two years of the ADVANT M&A Deal Point Study indicates gradual growth in adoption of W&I insurance: 7% in 2021 and 9% in 2022. The occurrence of W&I insurance is comparatively high in transactions with a deal value above EUR50m, which is also due to the fact that these transactions are often auction processes. How common was the use of security for warranty claims in our 2023 M&A deals? Our three-years M&A deal study shows that use of security for warranty claims is decreasing: 78% of transactions in 2021 provided for some kind of security instrument in favour of the buyer, in 2022 it was 62% transactions, and in 2023 it was – 42%.
