My answer is specific to Subcontracts, since this is where the "mess" is generally seen. The first step is to make sure a master template with all the key provisions is prepared (eg. Clauses related to site operations, payment clause, bonds and guarantees, insurances, damages, change management and appendices such as trade specific details, BOQ, Specifications etc.) Next is to develop the template by incorporating the specific clauses related to a specific project, thereby creating a template for each project (since the main COC differs from project to project). Such project specific template can now be used for subcontract agreements of the project. Terms to be amended as per the terms negotiated during package finalization.

Though contract management software is an effective way, but it is not everyone’s cup of tea. Specifically it is a costly affair for many small companies and may be their budget do not permit them to acquire contract management software. Now, question is how they solve the problem. In my opinion, contract management software is alone not the solution but the skillset of the contract manager takes the important role in making organised and up to date. A cost effective powerful tool is MS Excel which can be used for this purpose and in many cases, even large companies use this.

It is important to understand realistic timelines of CLM implementation. Whilst implementation times can vary, some can take up to 12 months. Not ideal. To mitigate this, some vendors offer an implementation guarantee (green flag). Alternatively, get some realistic timelines when negotiating with a vendor.

Having a ready repository always helps and is irreplaceable in terms of convenience and accuracy. It further helps in reducing the cost of getting all the existing drafts in the repository through AI extraction or manually by 3rd party.

I personally recommend to use Google suit (Google Drive, Docs, Sheets etc) ideal for the Contract management. Easy to amend, Edit and update.

Although it is essential to be equipped with the latest tech it is always better to supervise all the contracts and repository manually. The accuracy rate is still not 100% of any tool and it should be used as an assistant to humans not as a replacement.
