What are your top tips for managing vendor contracts?

It’s important to understand why do we even need a contract in first place? By answering such fundamental questions, one would be more appreciative of its “purpose”. If aim is to work out how it can be used for litigation then it’s not right relationship in first place. On the other side, people involved could change over the course of the contract that may result in some ambiguity. Key things are: 1) clear scope - what’s in and what’s out 2) accountabilities - what each side has to contribute. Remember, it’s a relationship. 3) what success looks like - SLA/ KPIs 4) boundaries - policies, governance, etc. 5) resolution approach - when things do go wrong Above all, important to have ongoing dialogues at all levels on both sides.

Before entering into any vendor negotiation, it's essential to have a well-defined understanding of your objectives and what you expect from the vendor. This includes establishing a clear scope, budget, timeline, quality standards, performance indicators, and communication protocols. Documenting these elements not only helps prevent misunderstandings, conflicts, and disputes down the line but also provides a structured framework for assessing and comparing vendor proposals. In the construction industry, where precision and compliance are crucial, a well-defined contract negotiation process is fundamental to successful project execution.

Communicate your requirements very clearly to the vendor, so that the understanding is same on both sides. Be it tech specs to providing services, make it very clear and get an understanding from the vendor and create a win win situation from the beginning. Only when the vendor sees a benefit, he will prioritise your requirement. When the vendor picks up your requirement first, half the job is done. Rest is fine tuning the requirement and meet each others needs, interms of cost, quality and timeline. Relationship management plays a very vital role when managing a vendor. Treat them like you would like to be treated by your clients. Paper work is part of the process. When you identify the correct vendor, rest of the processes fall in place

Value for money and due diligence, as a requirement, rationalise vendors by reducing their numbers and increasing purchases/spend per vendor. This will decrease the vendor pool to be segmented, contracts to be managed and focus your management efforts.

It's important to know your limits and absolute stop points. Think of it as a spectrum, on one side maximum contract length, on the other side total cost of the contract. Find the middle point where a good faith contract negotiation can start, and slowly move each point until you reach a fair and equitable deal for both parties.

Successful negotiations involve striking a balance between your organization's objectives and the vendor's interests, with a focus on creating value for both parties. This necessitates openness to alternative solutions, willingness to compromise, and a keen eye for trade-offs. It's essential to conduct negotiations with respect, transparency, and a strong ethical foundation. Furthermore, meticulous documentation is key in ensuring the clarity and enforceability of agreements. Every detail, from initial agreements to subsequent amendments and change orders, should be recorded, signed, and approved by authorized parties.

Undertake vendor orientation to ensure they are properly inducted to your organisation, and that they understand your strategy, systems and structure. We need to have confidence that vendors are delivering what they are being required to. In a constructive contract relationship, both parties understand and uphold their obligations. Often the vendor relies on obligations fulfilled by the customer.

After signing a vendor contract, it's imperative to establish a systematic approach to oversight. This involves diligent tracking of deliverables, milestones, quality, and compliance, alongside reviewing invoices, reports, and feedback. Clear and objective metrics and criteria should be defined to assess vendor performance regularly. These metrics serve as a basis for evaluating progress and identifying any potential issues or risks early in the process. Effective communication with the vendor is essential, fostering a constructive and collaborative relationship.

Despite comprehensive contracts, challenges can still emerge due to scope changes, delays, errors, or misunderstandings. When these situations arise, it's vital to respond promptly and professionally, avoiding unnecessary escalations. Adhering to the dispute resolution process outlined in the contract and seeking amicable solutions should be the focus. Documenting the issues and their resolutions is not only prudent for legal purposes but also serves as a valuable resource for process improvement. A strategy I have found helpful over the years is to treat a 'contract with a Vendor' as a Partnership; 'we are in it together', 'shared success', 'your success is our success' kinda-attitude. This approach has been the key to manage apathy, resolve conflicts and timely mitigation of risks. To enable and build a cohesive and trusted partnership, as some of the other esteemed industry experts have already mentioned: be consistent (MBRs and QBRs are a great way to stay connected and involved, consider hiring/adding a 'Vendor Relationship Manager) and be fair and reasonable; involve them early on in the deal/project qualification process, pre-sales process, share imminent opportunities allowing them to plan and bid.

Ensure that you work with a dedicated senior account manager and that you are able to escalate concerns within the vendor organisation. Addressing challenges and problems as they occur prevents them from becoming more serious. Early and honest discussions build trust and respect.

Plan to involve your executives in negotiations strategically esp. during critical issues. Vendors may make additional concessions when executive involvement is introduced - its critical that you achieve internal alignment regarding your negotiation strategy.

Assess the vendor’s capability to meet your contractual requirements and business needs. Work with your vendors to identify challenges, whilst always looking to improve the relationship. Be clear on what is required and measure performance during the contracting period. Performance review should be more than just an exercise in measurement, but also an exercise in continual improvement.

Contracts should not be static but rather adaptive to changing circumstances. Regular contract reviews, typically on an annual basis, or more frequently in the face of significant changes in the business environment, project scope, or vendor performance, are essential. During these reviews, it's crucial to assess the value and satisfaction derived from the contract. This evaluation informs decisions on whether to renew, renegotiate, or terminate the contract. In the dynamic construction industry, where adaptability and optimization are paramount, contract review and renewal ensure that procurement remains aligned with organizational goals and evolving needs.
