If you’re hunting for new business do as much advance research as you can about the specific needs of your potential client and then go full listening mode in the initial stages of negotiation so your final proposal addresses the needs of your potential client fully.

In the interest of relationships, we should not negotiate hard on each item. Rather than merely focusing on parsing contract language in a vacuum, focus the on the actual impact of the language. Fact-based examples will help bring the parties together and more quickly reach common ground.

The mind set of win/lose is not correct. I truly believe vendors are an extension of whatever company you work for. I have partnered with enough vendors over my career to understand how important they are. They are an extension of my team and contract negotiations need to benefit both parties. If I am expecting higher end service levels and response times then the vendor should be compensated for it. Contract negotiations with vendors should not be adversarial. That’s not a good way to start a relationship.

You must set out to create a win:win for everyone involved in the negotiation. In healthcare, when I'm involved, I am looking to create a win:win:win. The first win is for patients, where we seek to improve their outcomes. The second is for the NHS, who need to see a reduction in workload as a result of the improved patient outcomes, and only then do we seek a win for the pharma, med tech or device company. the win:win:win is essential. If you create a win:lose outcome, it's a recipe for disaster as the "loser" will spend all their time trying to inflict pain on to the winner. If everyone leaves the table feeling like they have won from the negotiation, you have a much greater likelihood of success in whatever you have agreed.

Win-win solutions are critical. The point of a contract is you want to do business. So keep that in mind. Sometimes it's possible to think out of the box and find something that really works for both. If that's not possible and some kind of 'trading-off' needs to happen, then one tip is to rank the issues on your end in order of importance and invite the other side to do the same. Hopefully they aren't the same order, and you can trade-off a few points you don't care about in order to get points you really do care about. And the same is true for the other side.

The supplier may be asking for a significant increase for a number of valid reasons, the increase is not intended to make the buyer look foolish and the buyer resisting increases is not to get the seller fired, both parties are doing their respective jobs for their employers. It’s business, not a personal attack!

Always go to a negotiation with a collaborative mindset and not with an aim of winning. Aggressive and fierce negotiation style may not lead to a desired outcome and I have seen negotiations falling apart due to this reason. You can keep your argument hard but be respectful at the same time.
