What is the role of a board of directors in a startup?

The role of the board at the initial stage in particular needs to provide the domain knowledge to understand, quantify and mitigate the risks for the startup. Thereafter, its role becomes that of an advisor and an industry/investor connector. Hence the composition needs to be a combination of subject matter expertise and an eco-system (not necessarily the same industry) influencer.

As a startup founder, you want to remain in control of your board for as long as possible. A high functioning, supportive board can help catapult the company to the next level while a dysfunctional, divisive board can severely undermine the company (this may sounds familiar if you've been following the OpenAI drama) As a founder in the early days, you have a lot of control over your board composition, typically a mix of cofounders, investors and independent contributors who can add strategic value. Ensure that you have a healthy mix of people around the table - some who can help with what's going on in the business today and others who are focused on the future vision.

Who you choose and add to your board is critical. The board will not make the startup successful but having a poor board can be really detrimental. Have a board that is experienced in governance, your industry and company creation is ideal. Having strong individuals who will tell you things as they are is also critical. Also, equally important is not having the wrong people. Unprofessional or unqualified can make your board a circus. Keep it small and tight. Fight for clauses in your company docs that set minimum equity ownerships for board representation and observer seats.

The Board of Directors in a start up are there to give it credibility. Other than that, they do long lunches at expensive restaurants in NYC and act important. I think that boards for a start-up need to be ready to be more operational than they are with established companies. Pick skill sets that compliment those of the executive team. I agree with the comment from other about the importance mentoring the CEO particularly if this is their first company.

Fundamentally, all directors have a duty to monitor and control, regardless of the reason they were brought in or the evolutionary stage of the business they have been brought into. This is a universally recognised duty, even though it might be articulated slightly differently from jurisdiction to jurisdiction. So, if a startup has no internal controls, either at all or in a particular respect, the directors have a duty to establish them, and then to supervise the implementation of those controls, to ensure they are followed. Saying "that isn't my job - I was brought in to do something else" and allowing the business to continue uncontrolled and unsupervised in a particular respect, isn't a response that will wash with most courts.

A key role of the board is to hold the CEO accountable. CEOs in young startups actually really need this accountability to remain focused and stay on track. It is all too easy to get swayed or delayed by distraction or one’s own character.

The role of the board in start up evolves depending on the stage at which the start up is. It's not a one-size-fits-all. The migration is from bare bones compliance to mentoring to strategy to committees to compensation to talent to full blown governance

I find interesting that many CEOs do not understand the role of the board. Because they are the founders and the ultimate engines in the machine they believe the company is their baby, only. Of course it's their baby but think about of the following analogy.The CEO is the limo driver carrying the shareholders, the board members are just the shareholders' assistant telling the driver (CEO) where to drop them off. The hierarchical decision making pyramid has the shareholders (CEO is an SH) at the top, then the board, then the CEO and then everyone else in the company. Decision making is broken down and delegated this way for efficiency and effectiveness. B. members also need to remember they respond to SHs and not just to their funds.

Over the last years I have had the pleasure of a changing group of directors in the board of my company. An impact driven, capex intensive, value based and female founded food production company with sky high ambitions to change the food system. The board is of course important to secure the business. But the best of these directors have been those who understood that building something is a journey, that I am not Harry Potter with a bag full of magical tricks, and with patience and empathy to help me build a strong fundament for the future, for the team and for harvesting their profit in due time. Getting perspective on the development on a strategi level and from people with industry knowledge and network matching where you wanna go. Getting mentorship and guidance from people who what they talk about and who you respect. The right boardmember will guide you - push you and support you.

Board meetings should be focused on the future of the company not rehashing the past and yet many boards get this wrong. As an early stage founder / CEO, send your board deck days in advance (use a google doc) with the ability for all board members to freely comment on it. Then address those questions before the meeting 1:1 and do a 10 minute summary at the beginning of the meeting. You've now freed up your meeting and are able to spend the vast majority of the board meeting focused on the future and how the board can best support.

Early stage companies have a huge amount of variation in board meeting quality. The worst are inconsistently scheduled and held; are just a performance by the CEO (with little input from management, and little discussion with the board), and are rushed and poorly prepared. Often the board members get no visibility of the contents before the meeting. The best are scheduled well in advance, use a consistent set of metrics that are tracked over time, have active participation of top management, and have opportunities for important decisions/ discussions with the board. The board should not be weighing in on all matters, but high level strategy, budgets, and financing plans are core to their role.

Governance in all its forms. Honesty, transparency, the protection of the equity holders and all the stakeholders of the company. To perform your fiduciary responsibilities with honest, integrity and on an ongoing basis. Help and direction to a start-up but putting the other parts in place early/first is critical

The most efficient and effective board meetings I have attended have always been prefaced with detailed "board booklets" that members can review at least 1 week prior to the board meeting so everyone can come prepared.

The Board should definitely provide value and not friction. However, the Board should provide an honest appraisal of how things are going and offer constructive criticisms. I see the Board members offering these 4 types of value: (1) Networking - suggesting potential investors, customers, partners, distributors, integrators; (2) Experience - providing wisdom and lessons learned from their own business career; (3) Market Knowledge - not actually conducting market research, but knowing the market and what is likely to sell, where, how, to whom, etc. vs. what is not likely to sell; and (4) Coaching / Mentoring - being there for the founder/CEO when they need positive encouragement, guidance, and support the most!

In my work with boards and startup companies, one message rings true -- healthy governance is essential to success. The board can and should help ensure that the CEO/founder and management is working to achieve the mission of the company. Striking that proper balance between strategic guidance and interfering with operations is key. Letting the CEO/founder know when things are going well and providing words of caution when things are not. Developing trust in this relation is a must.

Founders often get so busy in execution that they sometimes lose sight of the big picture. In my opinion, Advisors and Board members help founders zoom out, when needed. I also think that Board members who have experience from other industries help the executive teams challenge the status quo.

Awareness of Ground realities and problems… At least 1 or 2 board of directors (CEO at least) should be well aware of the ground level realities and problems in the company… It’s very important for this person to be well connected to every technical team and also including the support teams till the junior most in the company… Many a times the actual ground level issues are very different from what reaches the CEO through their immediate managers… Some may say that it’s the job of managers to know the issues and communicate to higher ups… But, it may get diluted sometimes… So, the right person in board having right info of ground realities is what helps the overall board team in creating effective strategies and actions for growth…

Founders should work with investors to limit overheads in terms of sitting fees and logistical costs.It should be decided right at the start on how the Board members would be rewarded for their participation and guidance .
